We deserve an explanation, just as he demands from the company. He has stated his intent to do a serious BoD bashing "at the end of the week". So you're saying that THAT is all good and fine. In his position, compensated or not, he is a party to every move the company has made - the moves he criticizes. He's not pleased with the company's actions? Remove yourself as a party to it!
