But as I asked in my second post before...
I hope some of those who have been complaining for a long time here(months and even years) about the BOD, their actions and pay etc. ety. had the foresight to send in a shareholders proposal, rather than repetitve postings here on the board to lather things up. If you did , that's great, if not why??????????
I guess we've had a lot of complaining(for years now) but no one seems have taken some substantive action.
Everyone has the right to voice their opinions here (on topic) but this repetitiveness of the BOD performance is getting old and disruptive IMO.
If no one has taken any of those options offered to us then the rest is a lot of noise...of coursethough there is one other plan ..
If anyone has the opportunity to attend the annual they could always make a motion from the floor to be voted on. Of course only those with un-voted proxies that are at the meeting could vote then. It wouldn't pass or anything like that...but...it would send a statement...soooooo...for those carping about this BOD if any of you are planning to attend the annual here's one for you..
Be it resolved that:.........
Effective immediately, the current and all future elected members of the BOD should receive compensation of no more than $60,000.00/year ($5,000.00/month) and no more than 100,000 options priced no lower than 90% of the average closing price for the last 20 trading days before the annual meeting. Any chairmanship of the Audit, and Compensation, and Nominating committee will not be paid more than additonal $6,000.00 year (500.00/ month) with no additional options granted.
When asked to support your proposal I'm sure anyone could think of a ton of reasons to reduce this expense....and communicate it intelligently.
Have it typed up and ready to present to the secretary of the Meeting/BOD for the files and let nature take its course. Then when it gets voted down just be ready to present it in writing next year at this time so all can vote on it...if they(Johnson) put it in the mailed proxy.
So any of you who really have a problem with this BOD if you live near the annual meeting site and plan to be there here's your chance to get it on the record.
