PTSC Headlines anticipated over the next 4 weeks (based on CEO Rick Goerner statements and some IMO which I will reference as such):
(Done) September 1st – Announcement of successful completion of acquisition of Crossflo. "We continue to make progress towards obtaining Crossflo shareholder approvals, and other details required to close the transaction by September 1st." IMO Comment: Hurrah-Done Deal, so final numbers about cash and shares ponied up (and any other details) should be forthcoming.
(Not Done) Week of August 25-29 -“We are also planning to post an updated Patriot Scientific business overview on the Company’s website next week for investor review and comment. It outlines our vision for Patriot Scientific’s future, leveraging the success of the MMP™ licensing efforts, into data sharing and secure data solutions.” IMO Comment: OVERDUE – was supposed to be on there last week (according to RG's words), but the website looks the same to me... My IMO speculation is that it makes more sense once the CROSSFLO acquisition is complete before any new overview is posted. His word has rung true on his plans thus far, so I am hopeful we see it any day now.
(Done?) August 31 - “Patriot Scientific has made progress in its due diligence efforts to validate the technology, and business assumptions, to acquire, for cash, nearly 20% of a Silicon Valley developer of mobile networking software to facilitate the transfer of video content to mobile devices. We are on track to complete the transaction by the end of August.” Comment (IMO): Well, it is OVERDUE…and from a previous post I made on 8/27/08, I am “guessing” from my amateur sleuthing on Google that the mystery company is DROPLET Technology.
In my opinion…Company happenings I expect to see in the month of September but RG has provided no definite timeline. The one timeline (or deadline if you will ) which I believe is “pushing“ things along is the Annual SH meeting in late October. If you were RG, would you want to enter into that meeting with shareholders sitting at a pps of .23-25? Nah.
1) Announce more details about planned conferences RG will attend and present to through the end of the year. Ibis is coordinating subsequent meetings through year-end, including several industry conferences. These venues represent an opportunity to outline the strength of the Patriot transition story. We will have more information on these conferences as details become available. Comment: IMO…He will tell us about at least one (or more) that he is presenting at soon.
2) Iameter Acquisition. Comment: Except for Page 15 of the presentation on the website, I don’t believe he has revealed anything else about it. I bet that can be consummated fairly quickly, like this month or next.
3) Per RG, "Hiring of an additional marketing and business development person to support the expanded activity level associated with the M&A effort, business planning and support of the implementation of the NuPOWER IP licensing effort. Comment: This was mentioned in the 7/21/08 SH letter, so you gotta figure that in 2 months he hires someone – We certainly are having plenty of activity in the M & A area…:)
4) IMO….Cohen Update – PTSC purchased their 1-year coverage for $49,500. We had big report on 10/16/07, then subsequent updates on 12/20/07, 6/9/08, and 7/18/08. Comment: We are due for another one, especially with the year almost up. My guess is this month. Yeah, yeah, we will get Dutton updates too surely. When is our coverage with Dutton due to be renewed? Maybe PTSC doesn’t renew with them again.
5) ARS update. Deutsche Bank reached a deal with regulators on 8/22/08 --- they agreed to buy back around 1 Billion on 8/22/08. Comment: Surely PTSC is included. I would expect the company to provide an update on how this news impacts PTSC’s ARS. Why go into the SH meeting without that better resolved or revealed to shareholders.
6) Another MMP License in September. Comment: We had two in the first 10 days of September last year. We are averaging getting one per month (at least), so it is not a stretch to presume another signing. Big or Little fish…maybe the crystal ball knows ‘cause I sure don’t.'
7) Acquire a Textual Analysis and Search Company. From the August Presentation, Slide 15 Slide suggests it is “Under Evaluation”. Comment: If not outright acquiring, maybe a small stake. Either way, I expect we will hear something more about this soon.
8) Litigation/Patents. Comment: I defer to those on the board with way more due diligence on this than myself. Thanks to all of you that put forth the thorough discussion on this aspect of Patriot. Having said that, IMO, the company will probably continue to “non comment” unless something big happens like the T3 caving or one of our reexams gets final resolution or something else.
9) Shareholder Letter # 7. Comment (IMO) Somewhere in the September 18, 19, 20, or 21st trading days if he keeps up his historical average of a letter every 28-30 days.
Did I leave anything out? Probably, but I am out of time here. Again, much of this stiff is summarized from RG’s shareholder letters or presentations - the stuff in italics is my opinion on things and not meant to be stated as fact. I post this for my own notes/guidance on what I expect to see from the company in the near term and to provide some pseudo-guide for others as well.
The PTSC epic continues....
