So what you are saying is that there is no provision in the company By-laws that lays out how and when the COB should be named/voted upon…If that is the case, it is the first time I have ever heard of that. Secondly, if Mr. Johnson’s chairmanship, of this particular committee, has “assumed” the COB role then; 1. It means he was not elected to any position that the COB is responsible for and should be elected to…2. If it is the same functionary position why then is there no elected COB since as you stated… this position “has assumed the functions normally handled by a single Chairman ….then why not have him voted into that position as almost, if not every, public entity has.
