You seem to be confusing paid "employees" with Board of Director members. Falk, Felcyn and Johnson, were appointed to the BoD as designated representatives of specific investment entity interests. They are EMPLOYEES of other entities, for example, Johnson is the in-house counsel for Roswell Capital. At what point did it become the resposibility of OUR public company to cover the payroll for Mr. Swartz's private enterprises, or the Falk Family Trust's financial advisors' salaries?

Mr. Johnson plays a similar role on PPHM's board for which he is also quite well compensated. As Brian pointed out to you the other day, you imply that these BOD members are serving on the board in some kind of altruistic volunteer capacity and there becuase their specific expertise is what PTSC needed rather than what the entity they represent needed. That their skills translated to help PTSC in certain tasks was as much coincidental as anything else, and really that's besides the point.

Contrast their roles with those "invited" roles that Dr. Nick & Don Schrock serve in and you'll see that PTSC wants and needs people on the BOD that can support and expand their opportunities with respect to the new direction they have gone in since the PDS partnership, not members who at best are percieved to be serving specific interests at the expense of the entire shareholder base, and at worse are doing exactly that and possibly much worse.

Besides, if CJ's role is that critical becuase of his history in negotiating the Commercialization Agreement, PTSC can HIRE him on a consulting basis by the hour and at $300/hr get nearly 400 hrs per year at his 2008 compensation rate.
