In a sense, now that it's clear that the entity IS and HAS BEEN registered (not incorporated - it's an LLC) in DE, it is splitting hairs. And to be clear, I don't think I ever implied intentional fraud or bad intent, but simply questionable due diligence and oversight by PTSC, and specifically, the Audit Committee who, by charter, is RESPONSIBLE for oversight of sound business practices and enforcement of same.

Where I take exception to your "splitting hairs" characterization is that I specifically brought the question to PTSC directly, BEFORE posting anything here about it, and asked them to clarify the specific issue. Their response was that they were not in a position to do so. Obviously, (to me anyway), that meant they had no idea why Baroni Management Company LLC has no listing for an office in Potomac, MD or where I might find one (branch or otherwise), nor why they had no website, nor why they weren't registered as an LLC in Maryland. Therefore, by default, PTSC had no idea that the LLC was actually registered in Delaware instead. I suppose you could read into their response of "we're not in a position to respond to your inquiries" as sure, they knew, but just weren't going to say why, but, in my opinion THAT would be splitting hairs if you're going to analyze hair splitting, lol.

As I said, if you go back and read my posts on the topic, I applauded the Baroni signing, and pretty much all about Baroni, even saying we should appoint him C.O.B. But to me it's clear that PTSC did not even KNOW that the LLC was registered in DE instead of MD, as if they did, since it is public information and there would be no reason to not provide an inquiring shareholder with that informatoin if asked. Not the end of the world, but just another example of less than forthright communication by the company.
