Unless there is some advantage to PTSC shareholders, why would they agree to taking the joint entity private? Where would TPL come up with sufficient cash to make such a thing possible?

Come on now. If you're going to toss out stuff like this, at least put some meat on the bones explaining why it is likely or even possible.
