There are numerous companies whose shares have dropped from highs, eg CNXT $34.00 to 26cents, PWER $10.00 to 33cents, all for different reasons, and like PTSC, changing conditions played a significant part.
To blame the non-executives because licensing didn't meet initial expectations or for the numerous re-examination requests is pure fantasy. And as for Goerner's actions, just how many acquisitions are cash flow positive from day 1? There's a huge difference between theory and reality, just ask any mother. To the best available information dates are given, however complications do arise, it is how the complications are addressed which makes the difference.
If the S&L issue didn't have to be resolved, if licence revenue followed the initial trend, if there were no challenges to the validity of the patents, then, and only then, can the performance of the executive officers be challenged. Decisions were made on available information and to blame the non-executive BoD for events outwith their control is at best spurious.
Always far easier to blame those least responsible, for whatever reason, than looking at the macro situation at the time.
Goerner has to operate with what is available, not what "coulda, woulda, mighta" been available - pure fact, not some theoretical formula.
