Are you now stating that Pohl was both an EXECUTIVE and NON-EXECUTIVE director at the same time?
The non-exec chair convenes the meeting, jumps out of that seat and into the Chief Executive Officer seat to make an aplology for the absence of one of the executives, jumps back into the non-exec chair's seat to progress the meeting, and so on until the meeting is closed.
Imagine the fun that the non-exec chairman could have censuring, on a point of order, himself as Chief Executive Officer, not to mention how exhausting it would be.
