Simply put, if a BOD that had performed this poorly was at all interested in shareholders, then they could have simply made the gesture of taking their cash payments from last fiscal year, and rather than accepting those payments, instead, turned around and issued them as dividends to shareholders.
It wouldn't have amounted to much, but with a contribution to the cause from Flowers from his excessive salary and bonus package, could have been 1/10th of 1 penny for each share that a shareholder owns. Certainly would have been more than appropriate considering where their leadership has brought the company.
However, rather than make even nominal gestures that would reflect an alignment and a responsibility of leadership and stewardship, they deflect, misdirect, and seemingly outright lie to the shareholders.
