How long does the BOD have to act on enabling the Proposal #3 change in voting method for the BOD?

If, somehow, a special meeting were to be approved (how? who? when?) to vote on BOD and Shareholder proposals, what is the expected outcome of the following two proposals, given that some 300M shares were apparently not voted at the recent SHM. Who controls those 300M shares?

1. to vote on the BOD membership with one or two new candidates having been proposed - i.e. 4 or 5 candidates for what I assume is still a 3-person Board (how did it creep up to 5 with Mistry and Schrock?). NOTE: my concerns are (a) vote dilution if more than one new member is proposed and (b) effect of voting by the 300M 'silent' shares.

2. to vote on the increase of the board size from 3 to 5, with 2 or 3 new candidates.
