The BOD is three people. What if Mr. Flowers is often a dissenter? He has no power unless one of Johnson and Felcyn also dissents to a proposal.How likely is that? Maybe he's a "saint among sinners". We do know that he wasn't around when the BOD made many decisions detrimental to the share price.

With three on the BOD and a high turnover of CEOs isn't there a pattern? Maybe Cliff can vote against the other two "for the record" but has more tolerance or is less confrontational that his predecessors and so has not yet irked the other two enough for him to be show the door.

I'm neither pro nor con Mr. Flowers - I just don't think he's the problem although, as CFO, he does provide a nice shield for Ms. Felcyn to hide behind.
