I'm pretty sure one of the following is the "implied consent defense" that should be used in defense of the BOD:

a) C'mon, what do you expect from a penny stock company?! This ain't a blue chip Dow 100 operation!

b) Why are you bringing this up at this time?! Don't you know we're weeks away from the turning point seminal event for the MMP?

c) Would you prefer that PTSC sue TPL again? Do you believe $4.44M from PTSC and $$4.44M from TPL is too much to pay for peace? Would you prefer TPL & PTSC go back to court suing each other at this critical time?
