2. Rejection of Executory Contracts and Unexpired Leases.

Without admitting the validity of any other executory contracts and unexpired leases, the

following executory contracts and unexpired leases of the Debtor are hereby rejected by the Debtor

as of the Effective Date, and Confirmation of the Plan shall be deemed to constitute Bankruptcy

Court approval of such rejection: (a) TPL’s Commercialization Agreements with VNS Portfolio

LLC, Wafer-Level Packaging Portfolio LLC, SWAT/ACR Portfolio LLC, Multipath Portfolio LLC,

Interconnect Portfolio LLC, Online Security Portfolio LLC, Audio Technology Partners LLC, the

Peerless Hearing Aid Company, SyberSay Communications Corporation; (b) TPL’s Service

Agreement with Semiconductor Insights; (c) TPL’s Commercialization Agreements for Core Flash,

Fast Logic and 3D ART, (d) the PDS/Alliacense July 2012 Services Agreement relating to the

MMP Portfolio, (e) the Alliacense Services Agreement, and (f) the Insider Employee Compensation
