The By Laws do not require Directors to be present.
Seriously, it would not surprise me if the Cliff's speech was pre-recorded and just paused at appropriate times such as waiting for Votes (although even that could have just been recorded on mute for the 30 seconds or so). It didn't need to be live as there was no possibility of interaction. Also, I didn't hear the slightest background noise, cough, chair scrape etc.
