If the BOD practiced Shareholder serving and confidence inspiring corporate governance, they would back away from their blank check issuance authority, and publicly state that they will seek and require Shareholder approval before issuing any Preferreds.

... the result from issuing Preferreds, would, imo, lead to PTSC's own Bankruptcy filing shortly thereafter.
