It is virtually impossible to prosecute officers of Delaware incorporated companies. It is for this reason that so many companies are incorporated there.

I have heard it said that if a company is incorporated in Delaware it is best to find another place to invest or watch your wallet carefully because Delaware company officers are pretty much immune to prosecution and they know it.

Short of murder, they are fundamnetally licensed to do anything they please realative to the coproration with impunity. Sort of like incumbant politicians given the general inattention of most electorates. It has been said that we get the "best governance money can buy" which is arguably the worst government one can have.

Power and money are both easy corruptors of those having poor moral compasses.
