When Falk Sr, represented to Patriot he held the 336 et al Patents, did he tell them he held the entire bundle of patent rights ? ...and did PTSC at the time know that Moore was STILL a Co-patent holder ?
From readings of old filings, my solid conclusion was that PTSC thought Falk owned ALL the rights, exclusive of everyone. Did Falk represent that to PTSC ? I don't know the factual answer, but my best opinion is, yes, he did. Did PTSC at the time know that Moore still held his Co-Owner rights; my best opinion is that No, they didn't.
I believe that once PTSC found out they did NOT exclusively own all the Patent rights, they had an obligation to notify Shareholders. I do not ever remember a specific notification or PR which addressed that. So.. WHEN did PTSC actually discover they didn't own all of the MMP patent rights ????
I think I recall that the PTSC BOD, back in 1996/1997, after Falk Sr died(1995), addressed this representation issue at the fringes; even going so far as to say in an SEC filing that Falk Sr's assets had already been liquidated so any questions surrounding representations were moot.
Although not yet on the BOD at the time, Gloria Felcyn was Falk Sr's Trust Trustee and long time friend.
