A thought - perhaps the reason is to make sure that there are enough buyers in place for (possible) upcoming share conversions/liquidations? maybe a large conversion is expected and buyers are needed to help the price maintain equilibrium?

Virt, help me out - I need more understanding on how putting more shares in the hands of the open market will thwart a hostile takeover?
