Explanation of Responses:

1. A transfer of 1,500,000 shares of the issuer`s common stock from the Helmut Falk Family Trust, of which Ms. Felcyn is the Trustee, to Janet Fish, Trustee for The Fish Trust, was effected on July 22, 2005 in full payment of a one-time license fee in accordance with an agreement entered into by the parties in 1991.
