Thanks for your excellent analysis.
Excellent point on the hiring of Dr. Nick and Cliff. Yes, Pohl and Johnson could have been behind the selections along with Swartz, i.e., the Perrigrine 3. Pohl and Turley cleared out because of the legal and possibly criminal charges they could face and the new board (look at each character) recommends approval on TPL buyout except Dr. Falk. Remember if Swartz can get buyout for a dollar or 2 dollars a share times 15 or 20 million shares, I would say that was a big win for S&L. They can easily cover their tracks because they have sold millions at an average of .7 to .8 per share and they can show daily sells and claim they didn't want to bring the price way down. TPL may have thrown in additional perks to S&L to get them to go along with a private merger. Remember a slick advertising campaign, recommending approval by the board, would fool most shareholders and the big guys would throw all their shares toward approval. Whoop, there it is. Remember, Dr. Nick is buddies with Moore and along with TPL believes the best way to handle the MMP is privately where TPL has convinced them that a public corporation has to many limitations. Additionally, Moore had no love for Fish and probably PTSC. Of course it does for TPL, a great lawyer arguement that private is better than public to get their hands on additional billions.
Notice the timing on this move before April disclosure.
This is as good as a John Grisham novel. I may have stumbled on something like the Pelican Brief or not. Time will tell. I probably could have the things upside down and backwards, yet their could be much truth based on the way this is playing out. What do you think?
