Maybe I'm totally wrong, but if I would sell my company and receive cash and shares, I would not want the amount of the shares to decrease in case of a RS, though of course the worth per share SHOULD increase (but we all know, that there is a "good" chance a RS won't work).
In the event of a RS, while the number of shares held will fall by the RS ratio eg 10,000,000 on a 1-for10 basis would reduce the number to 1,000,000, the actual percentage holding would remain the same ie 10% pre RS would still be 10% post RS.
The only possible concern might be in the event of further shares being issued which would effectively reduce the percentage holding. This could be remedied by a simple anti-dilution clause whereby the holders are offered the opportunity to maintain any pre-issue level.
If and when Goerner decides to go down this road, I have every confidence that this particular RS will work.
