Message: Some assumptions but ...........

As has been noted several times previously, there is obviously a great deal going on that we are not privy too. However, here are some logical assumptions on what may be going on based on some of the notations in recent NRs, Form 20-F, the recent surprise PP, and some experience on the corporate side of the equation.

Jan 30 NR - "The proceeds will be used to fund the Company’s internal and third party development efforts necessary to complete the milestones required to enable the monetization of the POET Technology."

Jan 6 NR - "Significant progress has been made on the completion of this milestone (M8 - 100nm), although it has proven to be more difficult to achieve with the limited equipment available to POET. This highlights the importance of developing an alliance with a fab partner where repeating this milestone and improving it will be significantly easier with advanced lithography equipment standard for CMOS processing."

Jan 6 NR - "Besides the announced appointment of a Senior VP of Operations in November 2013, key management changes are underway at the research facility in Storrs, Connecticut. An efficient program management will be instituted and all documentation and design kit efforts will be handled on-site in a direct manner........ A new development team will be formed with partners to scale the POET Technology bringing it to a mature stage.

Jan 6 NR - "Both milestones are expected to be completed in the first 3 to 5 weeks of fiscal 2014. Significant progress has been made and both milestones are in the final phases of testing. Specific announcements will be made once the final testing is complete for both the Switching Laser Demonstration and the Optical Thyristor-based Infrared Detector and transistor combinations."

assumptions....

- The filing of 20-F was a mere training excercise to prepare POET for a listing on the big board.

- Some of the new equipment installed is working well. Learning the nuances of the new stuff is taking time, and after more industry feedback, it has made further capital equipment purchases necessary. Some of the work had to be farmed out to third parties, which is more costly than anticipated, but effective & efficient at this point.

- There was a need for more technical staff to utilize the new equipment and liase with our third party facilities.

- There was a need for an updated organizational structure based on a number of key success factors. 1. technical writers to aid in the formation of the design kits. 2. key management changes to aid Gagnon and Shepherd, including a high profile industry person - maybe even a new CEO given the loan to LP has been wiped. 3. someone to liase with Pelligrino et al.

- The U.S. military is on board and will start to pay royaties in the very near future. Given their current involvement via developmental testing, no upfront cash was coming from the military, but long term cash flow via licensing will happen once technology is finally ingrained.

- A MOU has been signed with someone. Hence the need for Pelligrino valuation update as per comments at the June AGM. It will form the basis of any further negotiations on the commercial side.

I am sorry, regardless of the work going on I think we should expect an update on the milestones, and more, by mid-month - if in fact it is in Poet management hands. (It is still possible that control of any announcement henceforth will be in the hands of a third party or partner). While there is a great deal happening, management still has a responsibility to ensure communicating to shareholders remains a priority - and they tell us what they can given the timelines noted in the corporate presentation and other bullish management comments from other sources.
