If the RS @ 5:1 did become neccessary to get us to the NASDAQ, PTK would be left with a float of about 40 million shares and many of these are tightly held.

In that scenario there might actually be as few as 10-15 million shares in play. This is an extremely small float to generate the level of interest anticipated on the NASDAQ to drive the SP even with good news forthcoming.

Any issue of additional shares would only dilute further the current shareholders; the question becomes; how do we get there from here?
