It is possible. If there is a deal with $$ attached. Only then maybe a RS. PP is not needed at the time for operations so most probably it is there to make bankers happy once PTC goes to Nasdaq, as PC mentioned it at CIC.

Why August 15?

because company is saying that Stephane will receive compensation if he secures 10M$PP. At the same time company is saying that Stephane will leave Aug 15.
