Epiworks would have had an NDA signed with both POET and II-VI. All parties would have been aware of the discussions and sale arrangments.... the GaAs Labs offer was originally on the table and then it was beaten by a "superior offer" as determined by the Board of Directors.

Speculating here but what if POET brought II-VI to the table for Epiworks?
