Dr. Taylor entered into an Agreement for Provision of Laboratory & Consulting Services to POET Technologies, dated January 29, 2014, with the

Company pursuant to which he was compensated at the rate of $12,000 per month and later increased to $13,750 per month. The agreement covered the

period from January 1, 2014 to December 31, 2014 and did not provide for benefits upon termination of the agreement. Dr. Taylor’s agreement was

renewed for 2015 at a rate of $20,833 per month for an additional year. Dr. Taylor resigned from the board on August 12, 2015.
