You would have to use a combination of factors, from market value to asset value to leevarging the earnings future during the period established for the buy in, there is (in just my opinion) quite a few methods.

I would suspect a focus on a particular vertical for the buyer, specializing terms and price with respect to that focus. So although I do have my ideas, rather than stir a hornets nest up with what my personal opinion is, I would defer to RVH, FJ, St et al for discussion on that.
