One would have to read the MOU to better analyze what part of it, if any, is binding, and under what law the MOU would be interpreted. For example, would the choice of law provision be binding? That may well depend on in what country a suit to enforce the MOU would be brought.
I don't think it is of all that much consequence either way. What each party wants is a happy partner and technology which is properly functioning and marketable at a decent profit.
