Companies want to make sure that retail shareholders don't control their destiny, as most management consider retail to be emotionally driven, and certainly in a conflict position as to salarie and option grants, at times the company isn't doing as well as retail believes they should be.
In my experience, retail shareholders feel as if they wield a lot more power than they actually do. Generally, measures brought for shareholder approval need very little if any support from retail. And even if they did need a certain amount of retail support, retail will not vote as a block. I think in most instances, a company can count on getting at least a third of the retail holders, no matter how unpopular the measure is to the other two third.
Wonder if volume and price pops a bit tomorrow - it's getting very late...
