Maybe having the last tranche secured in their own bank account is what POET is waiting for. Sure, the company will have to report any material events virtually immediately, but if you are part of the show, you might have some control over when certain material events actually happen. For example, you could agree with a certain partner or customer to sign a certain contract in early June or so. And before the contract isn’t signed, the material events hasn’t happened, thus no need to report anything.

Regarding the last tranche, if I were POET, I would try to avoid any additional risk until I had the money in my pockets. And since any move of any kind might cause irritations – and thus risk, no matter how small –, I would keep quiet as far as possible. If you don’t move, you won’t fall into a pit.

Of course, keeping quiet poses risks of its own, like the share price slowly eroding due to investor fatigue or traders trading and selling stocks that don’t comply with their “get rich quick” scheme. But you might accept that risk in order to avoid a larger one, especially if you know you have something in stock for your stock.
