The waterfall scenario was just an analogy to highlight how things can change at a moments notice when one least expects it.  If you believe that Management truly are allowing the share price to drop for cheap options then allowing the shareprice to go over a waterfall would be counter productive to their bank accounts in my opinion.  Just saying to expect what you might not expect and your scenario might only be a manifestation of your fears and projections.
