The assumption is that shares were sold prior to the participation in the private placement to cover the expenditure.  I believe this to be a flawed argument as this would negate any capital losses available.  Rather that shares in the private placement most likely have been purchased first and any sales would have and/or are still pending days, weeks or months later to cover some of these expenditures in order to preserve  capital losses
