According to the 2023 AGM proxy, Charbonneau did'nt need to resign to add a member (or more) to the board :

3. Director Number Resolution To consider and if deemed appropriate, approve a special resolution allowing the Board to fix the number of directors from time to time and to appoint additional directors between annual meetings as permitted by the Business Corporations Act (Ontario).

Poet got the year end results out the earliest I can remember.  Coincidence?

If we take for granted that Poet will finance its operations with the sell of their SPX shares, we'll probably hear about it this week before the OFC.  A deal between Poet and a customer (or customers) announced at OFC would be conditional to sufficient money in Poet's bank account.
