Rainy Amends Stock Option Terms

VANCOUVER, BRITISH COLUMBIA, May 20, 2008 (Marketwire via COMTEX News Network) --

Nelson W. Baker, President and CEO of Rainy River Resources Ltd. (TSX VENTURE:RR), announces that, subject to applicable regulatory approval, the company has amended the expiry date and vesting provisions of the 525,000 stock options granted to Directors on April 19, 2007. The term of the options has been extended to five years from two years and will expire on April 19, 2012. Vesting provisions will accompany the extension whereby one third of the options are available for exercise immediately, one third will vest on April 19, 2009 and one third will vest on April 19, 2010. The exercise price of the options remains unchanged at $4.70.
