Hello Team:
1. The information in the SEC filing is just an example or model. No private investor on that list has made any official arrangements to sell shares at $0.24. DD.... you would know that since your on the list. Refer to page 34.... "The selling stockholders may sell all, some, or none of their shares in this offering." It's just a model giving price boundaries to the private investors until LLSR becomes a OTC BB. Refer to the "Plan of Distribution" on page 39.
2. The 20M shares referred to are part of the 99M outstanding. LLSR officers have 60.6M shares (pg 32). The private investors own 9.1M shares (1st placement) + 23.6M shares (2nd placement)...see pg 35. LLSR exchanged ~ 8-10M shares for the rights to the ticket symbol that eventually became LLSR for a total of 101.3M to 103.3M shares... don't quite know how to get to 99M... but this is the approximation. The shares being sold on the open market are basically from the guy who acquired the 8-10M shares for the rights to his ticket symbol slot and the group from the 1st private placement were allowed to have 10% of their shares unrestricted.
