Over the past 10 years, Resverlogix has always issued a "Notice of Meeting and Record Date" filing on SEDAR for their "Annual General and Special Meeting." During the past 10 years, this document has been filed on SEDAR between July 13th and August 29th. In this document it lists the actual meeting date, which has ranged from September 9th to October 28th over the past 10 years. It also lists a single date for the Record Date for Notice of Meeting, Record Date for Voting (if applicable), Beneficial Ownership Determination Date, which has ranged from August 8th to September 26th over the past 10 years.
There is always a 25 to 28 day gap between the original SEDAR filing of "Notice of Meeting and Record Date" and the actual Record Date. There is also always a 32 to 45 day gap in between the Record Date and the actual meeting date. Over the past 10 years, they have never cancelled an AGM, so I can't find any precedence for how an AGM cancellation affects subsequent reporting requirements.
I don't know what the Resverlogix company articles require in terms of advanced notice of the meeting. But based on 10 year precedence, it seems that 32 days is the minimum. Torpedoman previously posted on Stockhouse that in a conversation with Sarah, she told him that legally they must hold the AGM no later than 6 months after the fiscal year end which would be Oct 30 or 31. She then replied that under unusual circumstances the meeting can be delayed beyond the 6 month requirement. So if October 31 is the deadline for normally holding the AGM (fiscal year ends at end of April), and we believe that a minimum 30 day advance notice of meeting is required, then I would expect a re-scheduled AGM notice of meeting to appear by September 30 at the latest to meet the normal legal requirements.
However, they might have a shorter number of days required for advanced notice of AGM. A quick Google found that 21 days is typical, but that certain companies' articles may stipulate differently.
