Hummmmm,,,,I think when a PP takes place the price level is based on a previous closing price which cant be more than a certain % below that closing price,,,,There are requirements and protocol around PPs,,,so if correct, when a prosepective financing by any party is carried out the share price seems to be nursed around so that the closing price on the floor meets the SEC requirements for the PP level. That might be off a bit but you get my drift. Someone else may have more accurate info on it.

Point being, any interested party out there who may have already made an offer, has established a certain price level they are willing to make the deal at!,,,,they certainly dont want to see a $4 floor price if their offer was at $1.65,,cuz if so they PP wont fly,,,,,I think thats ruflly the jist on the background...there are probably other mitigating circumstances such as requiring shareholder approval perhaps that can change that but I am not a lawyer. ,,,,jmo
