Buckeyes - That's the 10 or 20 billion dollar question isn't it. I would guess that the higher the total dollar deal is the more of the acquiring company stock versus cash would be offered. I have seen many deals where there is a total deal value satisfied with a combination of stock and a fixed amount of cash. Something like a $10 billion deal being X number of shares of BP up to $6 billion worth and the remaining amount in cash up to $4 billion. In these types of deals there is most often a cut off date that the shareholder has to let their brokerage know what portion they want in cash versus stock. In the event that more shareholders want cash than is offered by the purchaser is offering it is prorated proportionate to the number of "shares" that have let their brokerage know their wishes.

What would a purchaser actually be buying? 208 and the other couple of molecules that secure that patent, all of the patented molecules, the whole IP library or the whole Resverlogix company? The composition of the deal would dictate, to me anyway, what portion of stock versus cash I would be willing to take. The more IP they take the greater percentage of stock I would be willing to take.

The biggest reason for the cash/stock type of deals is to reduce the amount of the purchasing companies stock to hit the market upon the deal closing. If an RVX shareholder has some cash to satisfy the tax man and spouse/partner the less likely he is to blow off the shares of the acquiring company as soon as they hit his account.

There are many ways this could go if we reach the point of nirvana and see that unicorn. Personally I don't see less than a $10 billion price tag if we hit a triple play on the top line and/or full data. The potential annual sales are just to great.
