sidebar - Data rooms are used all the time for mergers and acquisitions. There are confidentiality agreements restricting the use of the information. I have never read one but I would assume that along with disclosing the information to other parties, there would also be a restriction barring those privy to the information from trading in the open market. That would restrict, say a pharma suitor, to only using the information to decide whether or not to make a bid and at what price. This is common practice and would make deals fairly impossible without them.
