Maybe "price discovery" for a buy out amount in this situation is a lot more casual than I am assuming. Maybe Lu simply leans over to Don and whispers: "Hey time for you and other minority insiders to call up Dart and amoungst yourselves agree on a price that you'd let us take you out at."
Then nothing is official until a formal bid is made and Lu is simply recused from voting on the offer.
