tada – I only know of one time that money was transferred between Zenith and RVX and that was in early 2016. RVX paid Zenith $2.3 million regarding Zenith granting royalty rights to RVX as described below.

6. Due to Resverlogix Corp. Under a letter of understanding between the Company and Resverlogix Corp. (“Resverlogix”) in connection with a proposal that the Company grant royalty rights related to some or all of the Company’s intellectual property, Resverlogix paid Zenith $2.2 million during the three months ended January 31, 2016 as partial consideration, and $0.1 million subsequent to January 31, 2016. In the event that a transaction does not close, any consideration paid by Resverlogix to the Company in connection with the transaction would remain payable by the Company to Resverlogix. The Company expects the aggregate value of the transaction to be no more than $5.0 million.
They didn’t proceed and Zenith repaid the money in the quarter ending July 31/16. This was repaid after the May/16 financing with Eastern Capital of $24.6 million. Zenith appears to only have had enough cash at any time to spare after that financing. Before that, they always had between $15,000 and $2.1 million cash in any quarter so none to spare. Since that time, their regular expenses with trials has whittle that EC capital and more raised down to little before this last $5.million.
Zenith does pay RVX smaller amounts like $300,000 or such as payments for using RVX offices, labs, personnel, etc. on an ongoing basis but not loans.
The only other thing was in the year ending April 30/14, RVX Therapeutics (Zenith predecessor) and Resverlogix entered a waiver agreement dealing with an earlier license agreement where Therapeutics could not develop any indications within the ApoA-1 therapeutic area for 5 years and a 3 year ROFR to RVX after that. For RVX waiving this, Therapeutics paid RVX $2.5 million. On January 31, 2015, the earlier license agreement was terminated although some items still stood but the time for them has almost expired now anyway. For the termination of this agreement, RVX paid Zenith $1.05 million as it removed some restrictions that earlier agreement had on RVX.
The first example is moot and was RVX paying Zenith anyway. It only lasted a few months and was repaid as they didn’t proceed. The second was only $2.5 million and it was for license rights which I would not consider a loan.
That is all I can find as SEDAR went down but that is just missing things for 2017 and more recent.
