Obviously  I don't know but my view is that these are not Investors per se.I tend to think they are a form of pay for services.The process you are descibingwould probably need a shelf registration,you will remember Zenith Han an open one for Accredited investors.So bottom line these are not shares that would have been purchased on open market.My opinion.
