The SHM is coming up, and everyone should have received their voting info by now. Mine came in emails from my broker labelled "SFMI Annual Meeting". The two important votes are for the BOD and the stock option plan. Unfortunately, your votes (or non-votes) for the BOD are effectively meaningless:
"If you abstain from voting or withhold authority to vote in the election of directors, doing so will have no effect on the election, because the six nominees who receive the greatest number of votes, regardless of the actual number of votes cast, will be elected as directors."
So the six candidates for the six BOD slots, that are recommended by the BOD, get elected if they get even a single vote each. Not true with the stock option plan:
"A vote to approve our 2011 Stock Option Plan will require an affirmative vote of a majority of votes that are present in person or represented by proxy and entitled to vote at the annual meeting. Abstentions will be considered shares entitled to vote in the tabulation of votes cast on this proposal, and will have the same effect as negative votes."
So please vote on this issue- every vote counts! The third vote (approving the audit firm) is not so important. For the record, I will vote to withhold all BOD nominees (against), and against the stock option plan.
Now, how can we try to make changes? The following quotes are from the proxy material:
"Q: If I wish to submit a stockholder proposal for the 2013 annual meeting of stockholders, what action must I take?
A: If you wish us to consider including a stockholder proposal in the proxy statement and form of proxy for the 2013 annual meeting of stockholders, you must submit the proposal, in writing, so that our Corporate Secretary receives it no later than April 5, 2013 (which is 120 calendar days before the anniversary of the date of this proxy statement) in order to be included in the proxy statement and form of proxy relating to that meeting. In addition, the proposal must meet the requirements for stockholder proposals established by the SEC."
"The process followed by our Board to identify and evaluate director candidates includes requests to members of our Board and others for recommendations, meetings from time to time to evaluate biographical information and background material relating to potential candidates and interviews of selected candidates by members of the nominating and corporate governance committee and the Board."
"The names of any nominees should be addressed to the Board, c/o Secretary, Silver Falcon Mining, Inc., 2520 Manatee Avenue West, Suite 200, Bradenton, Florida 34205. No shareholder has submitted names of director nominees for consideration at the meeting."
We need to get independent, qualified people on the board. If for no other reason than that we will never get on any of the big exchanges until we do. Because, as SFMI admits,
"Of the six nominees, we believe that only Lewis Georges qualifies as an independent director as defined by NYSE Amex rules."
So maybe we should get together and start sending in recommendations. I would have no problem recommending Pic for a position on the BOD. Any comment, Pic?
