Thank you for your email. TD Securities has been retained provide financial advisory services to the Company's Special Committee in connection with the merger and also, the offer by Cliffs.

In regards to the Cliffs new Offer, KWG has until June 24th at 12:01 am Eastern time to respond and match Cliffs new offer. Until then, shareholders are asked to take no action.
