I hate to be optimistic about this one

but after some thought and review some I offer the following to what appeared to be a completely bizarre deal.

1) I have tried the Roger's mobile stick ... it is crap and the people from whom we bought it at Roger's says no one has kept it (Burlington ON) ... we are also returning it.

2) A CRTC decision to allow this sale to go ahead provides pretty well a complete monopoly of the spectrum for Inukshuk (Bell and Rogers)

3) Canada remains amongst the most highly gouged internet users in the world

So why the agreement

1) The deal provide a much needed immediate cash infusion for LOOK ... that was good for the primary shareholder who otherwise was contributing cash

30 million - 16 million = 14 million

2) In addition to the immediate cash infusion ... more cash is to be paid at year end

20 million

3) Both infusions are non refundable

4) All of the litigation is settled

Whats in it for each party?

LOOK/UBS - Cash and possibly retention of the spectrum (if regulatory approval is not given ... and how could it?)

Bell and Rogers ... free and clear access to the inukshuk spectrum, the end of bothersome legal issues Bell gets

$16 million as full and final settlement, to be paid
contemporaneously with the initial $30 million non-refundable payment from
Inukshuk as part of the Agreement. The amount includes approximately $10 million
in trade payables carried by Look plus an additional $6 million payment

and

Look will pay to Inukshuk all revenues collected from its DSL Internet subscribers on Bell’s network for services provided during the wind down period net of all applicable taxes in lieu of the current $360,000 currently paid to Bell on a monthly basis

Basically for an intital payment of 14 million, 20 million in December, and 30 million in 3 years and possibly all of the spectrum

The question ... which seems more possible approval or no approval?????

THAT IS THE QUESTION!

Someone is acquiring a lot of LOOK at a low price who can benefit from possibly owning spectrum and tax losses ...

I remian discouraged but I must admit this is the reason I hang on ... that and my thoughts this deal was to bizarre for us sheople to understand ....oh where oh where is the good captain!

orgy
