They (INI) hardly need an advisor for this one but I guess the "independent" part is necessary to get management off the hook. The HD deal proposal clearly sets the INI shareholders up for "no cash now, and a squeezeout later" . The simplest question to the advisor , unlikely to be posed by INI directors, should be " If your intent is honorable, why is HD not offerring to buy up some existing shares now, at any reasonable price ?". Obviously, HD gets effective contractual control now with nothing down, the simplest of all setups for a squeezeout in a better market environment. So, a big INI thank you to Victory for a truly honorable deal that provides a huge upside to existing INI holders. My head is spinning to see that the INI directors appear to be happy to run their own shareholders out of time for proper decision making. I cannot imagine that INI shareholders will not vote in force to join Victory unless their Directors make some earlier , cogent and committed statements. Victory is looking great from here !!
