SUBSCRIPTION AGREEMENT FOR COMMON SHARES

The undersigned (the “Subscriber”) hereby irrevocably subscribes for and agrees to purchase the number of common shares of the Corporation (“Common Shares”) set forth below for the aggregate subscription price set forth below (the “Aggregate Subscription Price”), representing a subscription price of US$2.50per Common Share (the “Subscription Price”), upon and subject to the terms and conditions set forth in the attached “Terms and Conditions of Subscription for Common Shares of Zenith Capital Corp.”(together with this page and the Schedules, the “Subscription Agreement”). By signing this Subscription Agreement, the Subscriber consents to the collection, use and disclosure of the Subscriber’s personal information in the manner described in Section 29 of this Subscription Agreement. In addition to this face page, the Subscriber must also complete the attached Schedules, as applicable.
