My brother is a corporate contract lawyer (graduate from Chicago Law) and the first thing he says is that a contract must be clear and unambiguous and must specify the scope. The NDA isn't a non compete contract or is it? ambiguous? The NDA specifies no scope. If the contract was interpreted the way digecor interprets it then if EDIG created something digecor could build the same thing and say EDIG couldn't compete with them no matter what EDIG created. I don't think any judge worth his salt would agree to that but stranger things have been ruled in our courts. EDIG should sue digecor for tortuous interference with a contract.
