In a small company like edig with less than 15 employees, we should have local board members who have a great deal of business experience and participate in helping Fred run the company.

As an example, the planning, both operational and financial could be developed by board members and with agreement, implemented by Fred and his staff. They should act as part of the management team even with their limited time.
